‘DEFENDERS OF TOMORROW’ MASCOT PROMOTION

TERMS AND CONDITIONS

The ‘Defenders of Tomorrow Mascot Promotion’ (the “Promotion”) is promoted by Motorcorp Distributors Limited, registered in New Zealand, registered office: 3 Clemow Drive, Mount Wellington, Auckland, 1060 , Company No.1723309 (“Promoter”).  The Prize is managed and administered on behalf of the Promoter by WASSERMAN EXPERIENCE LIMITED registered office at 71-91 7th Floor, Aldwych House, Aldwych, London, England, WC2B 4HN (“Prize Organiser”).


PROMOTION START DATE:  July 3rd, 2025, at 00:01.


PROMOTION CLOSING DATE:  July 16th, 2025, at 23:59.

In order to enter this Promotion, Entrants (defined in clause 1) must be registered by a parent or legal guardian on their behalf. By entering this Promotion, you (as a parent or legal guardian) agree to these terms and conditions and the terms the waivers attached to these terms and conditions at schedules 1-3 (which you will be required to sign separately) on behalf of the Entrant. For the avoidance of doubt, all references to an Entrant in these terms and conditions shall also apply to the parent/legal guardian who agrees to these terms on the Entrant’s behalf.


By entering into this Promotion, the Winners (defined below) agree to participate in any publicity or promotional activities as may be reasonably required by the Promoter and/or Jaguar Land Rover Limited (“JLR”) with no recompense. Further, pursuant to the provisions of Schedule 1, the Promoter and/or JLR reserve the right to use the names and countries of Winners in any publicity relating to the Promotion.


These terms and conditions may be amended in exceptional circumstances where it is reasonably necessary to do so and the Promoter will use their best commercial endeavours to inform you of any such changes.

  1. Entrant:
    1. Entrants must meet the eligibility requirements specified herein. The parent or legal guardian must be 18 or over.
    2. It will be the Promoter’s sole decision as to whether any eligibility requirements have or have not been met and it may require evidence or confirmation before awarding any prizes.
    3. This Promotion and its Prize(s) (as set out in clause 8.1) are only open to Entrants who:
      • are aged seven (7) to eleven (11) years old (inclusive) at the time of the ‘Women’s Rugby World Cup 2025 Tournament’ (being 00:01 on 22 August 2025); and
      • live in New Zealand.
        (“Entrants”).
    4. No employees, agents or suppliers of the Promoter, JLR or the Prize Organiser, nor their associated companies or their Family Members will be eligible to take part in the Promotion. For the avoidance of doubt, “Family Members” means the parents, children, siblings, aunts and uncles, grandparents, grandchildren of an employee, agent or supplier of the Promoter, JLR or the Prize Organiser and their associated companies.
  2. How to enter:
    1. The Promotion can be entered, free of charge, by visiting the Promotion entry page on [https://cloud.e.infojaguarlandrover.com/MascotNZ_WRWC]
    2. (the “Website”):
      • Entrants must fill in all fields of the entry form and submit the entry form to go into the prize draw.
      • (“Entry Video”).
    3. By submitting the entry form and therefore entering into the Promotion, the Entrant is deemed to accept and agree to be bound by these Terms and Conditions, and to have confirmed that:
      • they are eligible to enter the Promotion;
      • they acknowledge and understand that their name and image may be used in association with the Promotion (as set out in clause 9);
      • they acknowledge that, if successful, attending the Prize may require time off school; and
      • they will obtain an exemption from school to attend the Prize from their principal pursuant to section 45 of the Education and Training Act 2020.
    4. The parent and/or legal guardian of the Entrants is responsible for ensuring that both they and the Entrants have valid passports, valid visas and travel insurance to attend the Prize (defined in clause 8.1). Entrants who do not give correct details or have not submitted valid documents/have the necessary authorisations (including visas) by the point of travel will be disqualified at the Promoter’s discretion and the Promoter may offer the Prize (defined in clause 8.1) to the next eligible Entrant. Neither the Promoter nor the Prize Organiser are responsible for obtaining visas, insurances, authorisations or any other travel documents on behalf of the Entrants.
    5. No entries from agents, third parties, organised group or entries automatically generated by computer will be accepted (including bulk entries). Each entry is subject to approval by the Promoter. Any entry that is deemed as offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information (at the Promoter’s sole discretion) will not be granted approval and will therefore be excluded from the Promotion.
    6. The Promoter accepts no liability for entries not successfully completed howsoever arising including but not limited to any technical faults (technical malfunction, computer hardware or software failure, satellite, network or server failure, network incompatibility) of any kind.
    7. The parent/legal guardian of the Entrant acknowledges that the Prize involves physical activity and that they are aware of the associated medical and physical risks involved. The parent/legal guardian of the Entrant confirms that the Entrant will not take part in the Prize (defined in clause 8.1) if they are suffering from any injury or illness which may affect their ability to take part in the Prize and that they will report any such injury or illness to the Promoter as soon as possible. By entering into the Promotion, the parent/legal guardian of the Entrant warrants that the Entrant is sufficiently fit and healthy to participate in the Promotion unaided (and acknowledge that they must reaffirm that they are sufficiently fit and healthy to participate in the Prize (defined in clause 8.1) unaided on the date of the Prize). The Promoter reserves the right, in its sole discretion, to remove any Entrant from the Promotion, at any time, if it deems (acting reasonably) that due to ill health or any other reason (at the Promoter’s discretion) the Entrant is unfit to safely participate in the Prize (defined in clause 8.1) and offer the Prize to an alternative Entrant.
    8. The parent and/or legal guardian agree that they will personally accompany the Entrant at all stages during the Entrant’s participation in the Prize and will maintain ultimate responsibility for the care of the Entrant.
  3. Valid Entry
    1. Entrants may submit up to 1 (one) valid entry. Any additional entries will be automatically disqualified and will not be counted or considered by the Promoter.
  4. Illegibility / Foul Play:
    1. If the Promoter subsequently discovers that an Entrant is illegible, has breached these terms and conditions, has committed foul play or unethical conduct is suspected then the Promoter reserves the right, in its sole discretion, to remove such Entrant from the Promotion and offer the Prize to an alternative Entrant.
  5. Entry and Purchase Requirements:
    1. Entry is free and therefore no purchase is necessary.
  6. Winner Selection:
    1. Entries will be evaluated by an independent panel based on the responses provided and their alignment with the purpose of the Promotion.
    2. Pursuant to clause 6.1 above, Entrants who have been successfully selected will be notified via email (using the details provided in the entry form) within twenty-one (21) days of the Promotion closing date (set out at the top of these terms and conditions) (“Winners”).
  7. Winner Notification:
    1. The Winner shall be emailed within twenty-one (21) days of the Promotion closing date (pursuant to clause 6.2 above) and will need to confirm their acceptance of the Prize, that their details given on the entry form are still correct and provide a signed copy of the Winner’s Acceptance Form attached at Schedule 3.
    2. In the event that any Winner is unable to take up the Prize for any reason they must notify the Prize Organiser within forty-eight (48) hours of the email being sent. In these circumstances or where the Promoter has not received confirmation from a Winner that it accepts the Prize after 48 (forty-eight) hours of the email being sent, the Promoter reserves the right to remove the relevant Winner from the Promotion and offer the Prize to an alternative Entrant. The Prize Organiser and Promoter expressly disclaim any and all liability which may arise due to being unable to contact a Winner.
  8. Prize:
    1. The Prize will be supplied by the Prize Organiser and shall be subject to these terms and conditions and WRED’s ticket terms and conditions (attached at Schedule 2). The Winners will receive the following:
      1. the opportunity to accompany a rugby team captain onto the pitch before the start of a match at the ‘Women’s Rugby World Cup 2025’.
      2. 1 x entry ticket to attend the match.
      3. 1 x entry ticket for the Winner’s parent or legal guardian to accompany the Winner.
      4. subject to availability and at the Prize Organiser’s sole discretion, a mascot uniform (JLR ‘Defender’ branded t-shirt and shorts);
      5. accommodation in England and reimbursement of reasonable return travel costs.
    2. The class, standard and overall cost of accommodation and all travel shall be subject to the Promoter's sole discretion.
    3. The Promoter and/or Prize Organiser reserves the right to vary details of the Prize or substitute a Prize of equivalent value should unforeseen circumstances require it.
  9. Interview and Media Consent:
    1. By participating in this Promotion, the Winner (and their parent/legal guardian) also agrees to the following terms:
      1. The Promoter and JLR may conduct written, recorded, or filmed interviews with the Winner before the Women’s Rugby World Cup 2025. These interviews may be used for promotional purposes.
      2. The name, age, voice, likeness, and personal story of the Winner may be featured across various media channels, including but not limited to:
        a) earned public relations coverage;
        b) JLR and Promoter-owned channels such as websites, social media, and printed materials; and
        c) third-party media platforms approved by the Promoter.
      3. The Winner may be involved in photo shoots, video recordings, and behind the scenes content, which will be used for promotional purposes related to the Defender public relations coverage. This includes images, videos, and digital media featuring the Winner.
      4. The Promoter and JLR retain full editorial control over any media content featuring the Winner. They may edit, publish, distribute, or otherwise use any collected interviews, photos, videos, and related media at their discretion.
    2. The parent/legal guardian is required to complete and sign the waiver set out in Schedule 1 of these terms and conditions. As part of the Women’s Rugby World Cup 2025 and the Defender public relations coverage, the Winner may be filmed and photographed. Signing the waiver is a condition of participation in media-related activities.
  10. Other Expenses:
    1. Except as set out in clause 8 above, no other food, travel, subsistence, accommodation or additional expenses are included in the Prize; these must be borne by the Winner (or their parent/legal guardian).
    2. The Winner (and their parent/legal guardian) acknowledge and agree that the Promoter will not be responsible for their costs and/or expenses (including travel expenses) of attending the Prize except as set out in clause 8. The Winner will not be entitled to any monetary equivalent or compensation for costs or expenses incurred or suffered in connection with taking up the Prize. The Promoter accepts no responsibility or liability for the Winner (or their parent/legal guardian’s) enjoyment of the Prize or any other costs and expenses that may be incurred by the Winner (or their parent/legal guardian) except as set out in clause 8.
  11. Cash Alternatives:
    1. The Prize is non-exchangeable, non-transferable and non-refundable and there is no cash, credit alternative or other alternative to the Prize in whole or in part.
  12. Identification:
    1. The Winners and their parent/legal guardian will be required to provide their ID on [DATE OR POINT AT WHICH THEY NEED TO PROVIDE THIS].
  13. Intellectual Property Rights:
    1. All entries and any accompanying material submitted to the Promoter will become the property of the Promoter and JLR on receipt and will not be returned.
    2. As one of the conditions of entry to the Promotion and receiving the Prize, the Entrant’s parent and/or legal guardian shall, if required by the Promoter, execute any such document as may be necessary to evidence or secure to the Promoter the rights granted under this clause 12, including but not limited to the waiver set out in Schedule 1 of these terms and conditions.
  14. Collection and Use of Personal Data:
    1. The Promoter will collect, hold and use your personal information in accordance with the Privacy Act 2020 (as amended, replaced, or supplemented from time to time) (“Privacy Act”) and our Privacy Policy (https://www.landrover.co.nz/cookie-and-privacy-policy). In accordance with the Privacy Act, you have the right to request access to and correct your personal information held by the Promoter.
  15. Promoter’s Decision:
    1. The decision of the Promoter in all matters is final and binding and no correspondence shall be entered into.
    2. The Promoter reserves the right to verify the validity of all entries including but not limited to asking for address and identity details (which the Entrant must provide on submission) and to refuse to award the Prize or withdraw the Prize and/or refuse further participation in the Promotion to an Entrant where the Entrant has breached these Terms and Conditions or there are reasonable grounds to believe there has been or will be in breach of these Terms and Conditions or any instructions forming part of these entry requirements or otherwise where an Entrant has gained unfair advantage in participating in the Promotion or won using fraudulent means.
  16. Third Parties:
    1. The Promoter is not responsible for any third-party acts or omissions. A person who is not a party to this agreement shall not have any rights under the Contract and Commercial Law Act 2017 to enforce any of these Terms and Conditions.
  17. Cancellation of Promotion:
    1. The Promoter reserves the right to cancel or amend these Terms and Conditions and/or this Promotion due to Force Majeure events (as defined below) and/or at their absolute discretion and without liability.
  18. Severance:
    1. If any of these terms are determined to be illegal, invalid or otherwise unenforceable then the remaining terms of these terms and conditions shall continue in full force and effect to the extent legally permissible.
  19. Responsibility for Promotion:
    1. This Promotion is run and administered by the Promoter and Prize Organiser with the permission of World Rugby Events Designated Activity Company (“WRED”). The Promoter is responsible for the operation of and all matters and concerns relating to the Promotion and the sole recourse of the Winners and their parent(s)/legal guardian(s) shall be against the Promotor.
    2. The Promotor is not responsible for the actions of WRED or any other persons involved in the staging of ‘Women’s Rugby World Cup 2025’ (including Tournament Organiser) and ‘World Rugby’ (formerly the ‘International Rugby Board’) that are unrelated to the Promotion.
  20. Ticket Terms and Conditions:
    1. Each Winner and their parent/legal guardian agree to comply with the terms and conditions applicable to the issue and use of tickets from time to time (as available and set out in Schedule 2 or such other webpage as determined by WRED from time to time) and as applicable WRED, Tournament Organiser and venue owner or operator rules and regulations relating to access to Rugby World Cup venues and any other areas associated with Rugby World Cup (including any terms of accreditation determined by WRED). Further each Winner and their parent/legal guardian acknowledge that they may be required to enter into a direct written acknowledgement and/or agreement with WRED and/or Tournament Organiser concerning use of the tickets and compliance with ticket terms and conditions prior to receiving the Prize. The Promoter is entitled to withhold awarding the Prize should the Winner fail to provide such direct written acknowledgement to WRED, and the Promoter reserves the right to offer the Prize to another Entrant at their sole discretion.
  21. Negative Publicity:
    1. Entrants, Winners and their parent/legal guardian shall not, while participating in the Promotion display or publicise any political slogans or homophobic language, images of a lewd or explicitly sexual nature, images containing logos of competitors and overt brand sponsorship or anything else deemed to be ambush marketing or an abuse of the Rugby World Cup/WRED/JLR and/or the Promoter, content which is defamatory, obscene, illegal, vulgar, offensive or otherwise unsuitable or which infringes others’ rights (including intellectual property rights) or reflects negatively upon any of the Promoter and/or JLR and/or WRED and/or the Rugby World Cup.
    2. Each Entrant, Winner and their parent or legal guardian acknowledges that any breach of this clause shall cause significant damage and loss to the Promoter and/or JLR and/or WRED and agrees to indemnify these parties from any damages or loss suffered.
  22. Unlawful Entries:
    1. Entrants must not be resident in a jurisdiction in which participation breaches any applicable laws.
    2. By entering, the parent/legal guardian of the Entrant warrants on the Entrant’s behalf that he or she is permitted by law in the relevant jurisdiction to do so.
  23. Liabilities:
    1. In the fullest scope admitted by the mandatory binding provisions of local law, neither the Promoter nor JLR, its affiliates, agents, officers or employees will be liable (to the extent permitted by law) for any loss or damage arising out of organising or holding this Promotion or as a result of an Entrant’s participation in it, participation in any of the activities or as a result of the winning, participating in, collecting or enjoying the Prize and/or the Promotion, or if the Promotion does not run as planned.
    2. To the extent permitted by law, the Promoter excludes any liability it may have to the Winners arising directly or indirectly out of or in connection with this Promotion.
    3. The Promoter and each of its group companies, agencies and contractors shall not be liable for any problems or technical malfunction of any computer on-line systems, servers, or providers, computer equipment or software, failure of any email or entry to be received on account of technical problems or traffic congestion on the internet, or at any website, including any injury to or resulting from participation or downloading of any materials in the Promotion. The Promoter and each of its group companies, agencies and contractors shall not be liable for any indirect or consequential losses.
  24. Force Majeure:
    1. The Promoter shall not be held responsible for failure or delay to perform all or any part of these terms and conditions including whether any event or match takes place, due to any act or omission beyond the control of the Promoter, including but not limited to epidemics, pandemics (including the re-emergence of Covid-19) flood, fire, earthquake, drought or other natural disaster, war terrorism, civil unrest, riots or threats of war, terrorism, civil unrest or riots, any action taken by a governmental or public authority of any kind (including not granting a consent, exemption, approval or clearance), an event of national significance (including any day of national mourning), strikes or any other events, which could not be predicted, controlled, avoided or overcome by the Promoter (“Force Majeure Event”).
  25. English Language:
    1. This agreement is drafted in the English language. If this agreement is translated into any other language, the English language text shall prevail.
  26. Law and Jurisdiction:
    1. These terms and conditions shall be governed by and construed in accordance with the laws of New Zealand. The parties irrevocably agree that the courts of New Zealand shall have exclusive jurisdiction to deal with any dispute or claim that arises out of or in connection with these terms and conditions and the Promotion.
  27. General:
    1. Entrants and their parent/legal guardian have fully read, accept and understand these Terms and Conditions.
    2. Entrant’s and their parent/legal guardian should send any questions regarding the Promotion or their entry to (“Promotion Organiser”)

SCHEDULE 1 – Film Footage Waiver Form

Imagery & Film Footage Waiver Form for Intellectual Property Rights

(the “Agreement”)

In consideration of winning the Prize and the association with Motorcorp Distributors Limited, registered in New Zealand, registered office: 3 Clemow Drive, Mount Wellington, Auckland, 1060 , Company No.1723309 (the "Company") I (the parent/legal guardian) hereby authorise the Company; and Jaguar Land Rover Limited, Registered Office: Abbey Road, Whitley, Coventry CV3 4LF Registered in England and Wales No: 1672070 (“JLR”) and its respective parents, affiliates, subsidiaries, intermediaries, licensees, agents, successors, importers and assignees (the “JLR Affiliates”) the right to film and photograph the child named below (the “Child”) for whom I hold full parental/legal guardian responsibility. This authorisation relates to the recording of the Child’s image, voice, conversation and sounds, including any performance of any musical composition(s) (the “Imagery & Film Footage”).


The purpose of retaining and using the Imagery & Film Footage collected at ‘Women’s Rugby World Cup 2025’ is to support the promotion of ‘Defender’s’ partnership with ‘Women’s Rugby World Cup 2025’ specifically in relation to the promotion of the ‘Defenders of Tomorrow’ mascot programme (the “Purpose”).

In consideration of winning the Prize, I acknowledge and agree that the Company, JLR and/or World Rugby Events Designated Activity Company (“WRED”) shall be the exclusive owners of the Imagery & Film Footage, including copyright interests, and shall have the right to sub-licence and transfer the Imagery / Footage to other entities in connection with the ‘Rugby World Cup’ and future tournaments, strictly in accordance with the Purpose; and I acknowledge that neither I nor the Child have any interest or ownership in the Imagery & Film Footage or its copyright and waive any and all moral rights I and/or the Child may have in connection with the Child’s Appearance (as defined below). The Company and/or JLR and/or WRED shall not be obliged to release or provide the Imagery & Film Footage to me, the Child, or any other third party.

I agree that the right to use the Child’s name, likeness, image, voice, appearance, and performance as embodied in the Imagery & Film Footage ("Appearance") may be recorded on or transferred to video media, film, slides, photographs, audio tapes, or other media, now known or later developed. This grant includes without limitation the right to edit, mix or duplicate and to use or re-use the Imagery & Film Footage in whole or part as JLR, WRED, the Company or Company Affiliates may elect. Reference to the Imagery & Film Footage in this Agreement includes any and all edited versions made by the Company and the Company Affiliates.

I grant JLR, WRED the Company and Company Affiliates the right to screen, broadcast, exhibit, market, and otherwise distribute the Imagery & Film Footage, either in whole or in parts, and either alone or with other products, in all media throughout the world, in perpetuity, including for the purposes of publicity, media / editorial, advertising, sales and promotion (including on Company websites) of the Imagery & Film Footage.

I warrant that I have the right to enter into this waiver, and that the Child’s Appearance will not violate or infringe the copyright or any other right of any third party or breach any contract or duty of confidence, constitute a contempt of court or be defamatory or blasphemous.

I accept that there is no time limit on the Imagery & Film Footage used as part of the Purpose and there is no geographic limitation on where it may be used or distributed.

I agree that any dispute or claim arising out of or in connection with this waiver shall be governed by, and construed in accordance with, the laws of England and Wales. I irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales with regard to any disputes or claims arising out of or in connection with this waiver.

SCHEDULE 2 – WRED TICKET TERMS AND CONDTIONS

TERMS AND CONDITIONS

  1. Ticket Terms and Conditions: Each winner and his/her guest(s) as applicable agree to comply with the terms and conditions applicable to the issue and use of tickets from time to time (as available and set out at terms_and_conditions.pdf or such other webpage as determined by World Rugby Events Designated Activity Company (“WRED”) from time to time) and all applicable WRED and tournament organiser “Tournament Organiser”) and venue owner or operator rules and regulations relating to access to Rugby World Cup venues and any other areas associated with Rugby World Cup (including any terms of accreditation determined by WRED). Further each winner and his/her guest(s) acknowledge that he/she may be required to enter into a direct acknowledgement and/or agreement with WRED and/or the Tournament Organiser concerning use of the tickets and compliance with ticket terms and conditions prior to receiving the prize.
  2. Negative Publicity: Winners and/or guests shall not, while using any Rugby World Cup tickets, display or publicize any political slogans or homophobic language, images of a lewd or explicitly sexual nature, images containing logos of competitors and overt brand sponsorship or anything else deemed to be ambush marketing or an abuse of the Rugby World Cup, content which is defamatory, obscene, illegal, vulgar, offensive or otherwise unsuitable or infringes others’ rights (including intellectual property rights) or reflects negatively upon any of WRED or the Rugby World Cup. Each entrant agrees and acknowledges that any breach of this clause 2 shall cause significant damage and loss to WRED.
  3. Data Protection: By completing your details you are agreeing to receive emails from the Promoter unless you opt-out of such correspondence. Your information shall be securely stored in accordance with applicable data protection legislation and the Promoter shall not share your details with anyone else.
  4. Use of Data: The Promoter may pass personal information relating to prize winners to WRED and/or Tournament Organiser (and any of their service providers or agents) for the purposes of monitoring the distribution and use of Rugby World Cup tickets and related experiences and, in the event of a suspected breach of any terms and conditions, rules or regulations of WRED and/or Tournament Organiser relating to the use of such tickets and/or experiences, investigating and taking action against such winners.
  5. Responsibility for Promotion: This promotion is run by the Promoter with the permission of WRED. Accordingly the Promoter is responsible for the operation of and all matters and concerns relating to the promotion, not WRED or any other persons involved in the staging of Women’s Rugby World Cup 2025 (including Tournament Organiser) and World Rugby (formerly the International Rugby Board), all of whom shall not be responsible for or liable to entrants in any way whatsoever in connection with this promotion.

SCHEDULE 3 – WINNER’S ACCEPTANCE FORM

All [Rugby World Cup 2025] tickets are issued subject to the Ticket Conditions, which apply to the possession and use of tickets. An electronic copy of the Ticket Conditions is available at [TBC BY WRED] and a copy has also been provided to me in conjunction with this form.


As part of the conditions of accepting the prize from the [‘Defenders of Tomorrow Mascot Promotion’], I agree to accept the Ticket Conditions by way of signature on this form and understand that I am bound to adhere by these. In particular, I confirm that I am using the tickets for myself and the Entrant that I am the parent or legal guardian to (or personal contacts who shall be attending with me, in accordance with clause [TBC] of the [Women’s Rugby World Cup 2025] ticket and conditions) and am not purchasing as an agent for a third party.


By signing this ‘Winner’s Acceptance Form’ I am confirming that I understand that as part of these Terms and Conditions that I am not permitted to sell any tickets that I or the Entrant that I am the parent/legal guardian to, may win as part of this Competition.
